1. Acceptance of Terms

By accessing and using Uplift RFP ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Uplift RFP provides an AI-powered Request for Proposal (RFP) management platform that helps organisations create, collaborate on, manage, and respond to RFPs more efficiently. The Service includes:

• AI-assisted content generation and optimisation
• Collaborative workspace tools
• RFP tracking and management
• Content library and knowledge management
• Analytics and reporting features

3. AI-Assisted Features

3.1 Use of Artificial Intelligence

The Service utilises artificial intelligence and machine learning technologies to assist with content generation, optimisation, and other features. Whilst we strive to provide accurate and helpful AI-generated suggestions and content, you acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or appropriate for your specific needs
• AI systems can occasionally produce outputs that contain inaccuracies, errors, or unintended information
• AI-generated content should be treated as suggestions or drafts rather than final, verified information

3.2 User Responsibility

You acknowledge that you are responsible for:

• Reviewing and fact-checking all AI-generated content before including it in any RFP response or official document
• Ensuring that any content you submit or publish meets your organisation's standards and requirements
• Verifying the accuracy, relevance, and appropriateness of AI suggestions for your specific use case
• Making final decisions regarding the use of AI-generated content

We recommend treating AI-generated content as a starting point or assistant tool rather than a replacement for human judgement and expertise. Always apply appropriate oversight and verification processes before relying on or publishing AI-generated content.

4. User Accounts

4.1 Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, threatening, abusive, or offensive content
• Attempt to gain unauthorised access to the Service or its related systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Impersonate any person or entity
• Use the AI features or underlying models for purposes other than RFP management and related business proposal activities for which the Service is designed
• Attempt to reverse engineer, extract, or repurpose the AI models or algorithms underlying the Service
• Use the Service to generate content unrelated to RFPs, proposals, or legitimate business documentation

6. Intellectual Property

6.1 Our Content

The Service and its original content, features, and functionality are owned by Uplift RFP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain full ownership of all intellectual property rights in the content you create, upload, or manage within the Service ('Your Content'). We are granted a limited, worldwide, non-exclusive, royalty-free licence to use, reproduce, and process Your Content, but only as is strictly necessary to provide, maintain, and improve the Service for you. We will never use Your Content to train public AI models, sell it to third parties, or use it for any purpose other than delivering the Service to you. Your Content will be treated as confidential information.

7. Payment Terms

7.1 Subscription Fees

Certain features of the Service require payment of fees. You agree to pay all applicable fees as described on our pricing page. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.

7.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew unless you cancel before the renewal date.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We are committed to protecting your data and maintaining your privacy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

10. Disclaimers

We are dedicated to providing a secure, reliable, and high-performing service. We use commercially reasonable efforts to ensure the Service is available and functions correctly. However, the Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof. We do not warrant that the Service will be uninterrupted, free from errors, or that any defects will be corrected.

11. Limitation of Liability

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law. To the maximum extent permitted by law, our total aggregate liability in contract, tort (including negligence or breach of statutory duty), or otherwise, arising in connection with the performance of the Service shall be limited to the total subscription fees paid by you during the twelve (12) months immediately preceding the date on which the claim arose. We shall not be liable for any loss of profits, data, goodwill, or any indirect or consequential losses.

12. Indemnification

You agree to indemnify and hold harmless Uplift RFP and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, and the parties agree to submit to the exclusive jurisdiction of the New Zealand courts.
